Carmine Capital advised the shareholders of Pouchain SAS on the transfer of their company to Groupe EIMI, a leading player in energy services.
An industrial and family-owned transfer focused on energy performance
A family-owned group with a history spanning more than a century and based in the Hauts-de-France region, Pouchain is joining Groupe EIMI, one of France’s leading independent family-owned players in mechanical, electrical and climate engineering. This transaction, orchestrated by Carmine Capital, enables Thibault Delepoulle, Chairman, together with Eric Vandenbulcke and Laurent Carré (CEO and Deputy CEO), to transfer the company to an industrial partner sharing the same DNA and values of excellence. This combination provides Pouchain with the opportunity to accelerate its development in the future industry and smart buildings markets within a group of national scale.
Pouchain, a century of electrical expertise at the heart of Hauts-de-France Pouchain, a long-established group founded more than 100 years ago, is a recognised specialist in the maintenance and engineering of electrical networks, process solutions and energy efficiency. With more than 220 employees in 2025, the group has established itself as a leading expert in the Hauts-de-France region (Lille, Valenciennes) and in the Marne area through its subsidiary KVEI, acquired in 2023.
Originally created as a power generation plant supplying electricity to the tramways of the city of Armentières, Pouchain initiated a strategic shift as early as 2012 to become a key player in energy performance. Today, the company structures its business around two centres of excellence: the Future Industry BU (PSI), dedicated to industrial clients (electrical engineering, automation, industrial IT), and the Smart Buildings BU (PSB), focused on the tertiary sector (centralised monitoring, energy systems control, multi-technical operation and maintenance).
Its high-level technical expertise and integrated service offering make Pouchain a partner of choice for optimising the performance of industrial and tertiary assets.
Groupe EIMI, a leading independent player in energy efficiency
Founded on strong family values, Groupe EIMI is a leading player in energy and environmental efficiency services. With 37 locations, EIMI is a recognised energy services integrator serving industrial and tertiary clients in the fields of mechanical engineering works and maintenance, electrical engineering, and photovoltaic installations. The Group covers the full range of mechanical and electrical engineering activities (design, installation and maintenance).
This acquisition forms part of a targeted external growth strategy aimed at strengthening its geographic footprint and integrating complementary expertise, particularly in industrial process automation and energy efficiency solutions for smart buildings. Through the integration of Pouchain, EIMI strengthens its territorial presence in Northern and Eastern France while broadening its technical offering for industrial and tertiary clients.
Thanks to the strength of its business model and the recurring revenue generated from long-standing and loyal clients, with whom Pouchain has built genuine relationships of trust, Pouchain demonstrated strong attractiveness, notably through the relevance of its economic model and the quality of its client portfolio. The sale process led by Carmine Capital enabled the management team to meet numerous potential acquirers, ensuring the selection of the best industrial partner to secure the company’s long-term continuity and future development.
